buyout thesisa newly incorporated holding company was slotted above the trading company by its own owner — pre-sale / MBO structuring; the approach window is open right now
Nobody inserts a holding company for fun: it is the standard first step of sale structuring, an MBO, or group reorganisation for a disposal — done 6–24 months before the transaction. The owner has already decided; the advisers may not even be hired yet.
The single warmest pre-sale signal in the register: approach while the process hasn't started. For lenders: acquisition/MBO finance will be needed shortly.
The badge is recomputed nightly across the whole index, and re-evaluated live the moment a company files — so a match is always a statement about the current register, not a stale list. Like every signal on the radar: a prompt to look closer, never a verdict.
